The agreement between you and EveryCent for use of our services.
These Terms of Service (“Terms”) form a binding agreement between you (“you” or “Customer”) and EveryCent (“we”, “us”, or “EveryCent”) governing your access to and use of the EveryCent product and website (the “Service”). By creating an account or using the Service, you agree to these Terms.
You must be at least 18 years old and legally able to enter into a contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us at security@everycent.ai immediately if you suspect any unauthorized access.
EveryCent provides accounting, bookkeeping, invoicing, payroll, and related financial-operations software for small businesses. Specific features available to you depend on the subscription plan you have selected.

You retain all rights to the data you upload or generate in the Service (“Customer Data”). You grant EveryCent a limited license to host, copy, transmit, display, and process your Customer Data solely to provide the Service to you and to improve the Service in aggregated and de-identified form.
You are responsible for the accuracy, quality, and legality of Customer Data and for having the right to upload it.
Our Privacy Policy explains how we handle personal information. By using the Service you consent to the practices described there.
The Service integrates with third-party services such as Plaid (banking), Gusto (payroll), Stripe (payments), and others. Your use of those services is subject to their own terms, and EveryCent is not responsible for their availability, performance, or content.
EveryCent, its logos, and the underlying software are our property or the property of our licensors. Except for the limited rights we grant you to use the Service under these Terms, no rights in our intellectual property are transferred to you.
If you send us feedback or suggestions, you grant us a worldwide, royalty-free, perpetual license to use them without obligation to you.
Each party will protect the other’s confidential information with the same degree of care it uses to protect its own confidential information of like importance, and in no event less than reasonable care.
These Terms remain in effect while you have an EveryCent account. You may cancel at any time from account settings; cancellation is effective at the end of your current billing period. We may suspend or terminate your account if you materially breach these Terms and, where curable, fail to cure the breach within a reasonable time after notice.
You may download or export your Customer Data before termination. We retain data after termination as described in the Privacy Policy.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERYCENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EVERYCENT DOES NOT PROVIDE ACCOUNTING, TAX, OR LEGAL ADVICE; YOU SHOULD CONSULT A QUALIFIED PROFESSIONAL FOR THOSE MATTERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERYCENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. EVERYCENT’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID EVERYCENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend and indemnify EveryCent against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your breach of any representation you make to us.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.
We may update these Terms from time to time. Material changes will be communicated by email to registered account holders and by posting the updated Terms at this URL, effective on the “Last updated” date. Continued use after that date means you accept the updated Terms.

These Terms, together with our Privacy Policy, are the entire agreement between you and EveryCent regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full force.
